REGULAR MEETING                                                                                                           SEPT. 6, 2005

First Selectman Eldredge called the meeting to order at 6:30 P.M. with the following in attendance:  Selectmen Blessington & Patton, L. Nicholls, J. & S. Lewis, J. Poole, G. Prusak.  First Selectman Eldredge led the Pledge of Allegiance.

APPROVAL OF MINUTES

PRESENT TO SPEAK
Mr. Poole asked if there was any news on the Talmadge grant?  First Selectman Eldredge commented that there was none yet.  Mr. Poole commented that in light of what has gone on down south and the fact that we talked about the Emergency Plan, I would like to review the plan.  First Selectman Eldredge said he would get a copy to him.  Mr. Poole wanted to know if we have taken a stance to see how we can curb our usage of gas and diesel fuel.  First Selectman Eldredge commented that we are locked into a price now.  Mr. Poole asked if we could look at conserving fuel and was told yes.  Selectman Patton commented that the main fuel usage is for the buses; the Board of Education pays for that fuel but does not have control over it.  We might have something like a fuel miles incentive.  Mr. Poole commented that we should look at it and pre-plan.  First Selectman Eldredge commented that the buses could look at route re-structuring.

PUBLIC WORKS
Lynn Nicholls commented that the sweeping after the chip sealing should be finished on Wednesday, they will finish up loose ends and then on to Turnpike Road.  First Selectman Eldredge asked how GASBY is coming.  Lynn commented that they are still working on it.  Lynn was thanked for the preparation work on the new library site.  Selectman Patton asked how the grant for the Ketches Road Bridge was coming?  First Selectman Eldredge commented that we have to apply for that we missed the 2005; Karl Acimovic will initiate the grant.  Selectman Patton commented that we decided 6 months ago to go for the grant.  

OLD FARMS ROAD WATER SYSTEM
Selectman Patton asked what is the time line for the water system?  The award letter for operation and management went to Birmingham.  First Selectman Eldredge commented that he is waiting for the test results for the water, and then Karl Acimovic will develop an RFQ for a competitive bid on the design of the water system.  We need the data to do that.  Selectman Patton commented that we just did that.  First Selectman Eldredge commented no we didn’t, we did a request for a proposal for a management company, and the next scenario is the design of the water system.  We asked for a management proposal and a rough order of magnitude pricing.  Selectman Patton commented this is what we asked for and read from the bid request:  we asked for qualifications and proposals for the operations and management to perform the following functions:  1.  Consult with respect to the planning for the Water System design.  2.  Prepare the design of the Water System and prepare construction plans and specifications for the construction of the Water System.  3.  Participate in the selection process for a qualified contractor to construct the Water System.  4.  Inspect the work and administer the construction contract during the construction phase of the project.  5.  Operate, maintain and manage the Water System, including supply, distribution and financial management.  This is what we interviewed for, that’s what they submitted and that’s what we awarded.  First Selectman Eldredge commented that we did not award for the design, talk to Karl.  The 2nd page is a management request application; the next phase is to go out for the design of the water system.  Selectman Patton commented that this is our document that we submitted to people and said please submit your proposal because this is what we want from you, these 5 things is what we want from you.  We describe operation and management as numbers 1 through 5.  First Selectman Eldredge commented that you have to bid on the design phase; you can’t go by this and say you have to design.  Everyone knew going into this that until you get the actual test results you couldn’t do the design, until you know if you need water treatment.  Selectman Patton asked what did we do then, why would Lenard Engineering submit a proposal to operate and maintain, which is 20% of what we asked for, if they didn’t think it meant engineering.  First Selectman Eldredge commented because they want the design work.  Selectman Patton commented which is what we asked for.  First Selectman Eldredge commented that I disagree with you, we asked for a management proposal.  Selectman Patton commented that we asked for a proposal to perform those 5 functions.  They are going to do all that.  First Selectman Eldredge commented that they know there is an RFQ coming now for the design of the water system.  Selectman Patton asked how would they know if he didn’t know?  First Selectman Eldredge commented he didn’t know, you were at every meeting.  Selectman Patton asked when did we ever discuss that? What meeting did we every discuss that?  First Selectman Eldredge commented that they are going to give us their input as far as the different kind of pumps and controls.  Selectman Patton commented that this is not what we asked for; it is not what they proposed.  First Selectman Eldredge commented this is what we intended to do.  Selectman Patton commented that we never intended to do that.  First Selectman Eldredge asked how could you ask for a quote on the design of something when you didn’t have half the data?  Selectman Patton commented that you asked for it.  First Selectman Eldredge commented that we asked for a rough order of magnitude pricing, just what they think the scope of the project would be.  Call Birmingham, they know they are going to bid an RFQ for the design.  Selectman Patton commented that Lenard Engineering did not know it.  I want to know how you can read these 5 pieces saying this is what we want and then say we are going to do an RFQ for engineering.  You are telling

me Lenard Engineering can bid on this and they could win the bid.  First Selectman Eldredge commented yes they could.  There is going to be an RFQ that is going to come up with the engineering.  If you look at the STEAP Grant, we put the application back in, it was specifically spelled out, the whole steps.  Selectman Patton commented that he didn’t get a copy of the STEAP Grant.  First Selectman Eldredge commented that you couldn’t design it when they didn’t know the water quality or if they need a filtration or not; you couldn’t design the system or give a price on it, they gave ROMs.  Selectman Patton commented that they were not rough order of magnitudes.  First Selectman Eldredge commented yes they were, that was the understanding going in, we were asking for a management proposal.  Selectman Patton commented you were calling it operational and management and you asked for design work.  First Selectman Eldredge commented that when you have the data you go out with the RFQ.  Selectman Patton asked how can I operate when we change from week to week?  We interview people for engineering and operation and management and then you say I didn’t mention that, why would you think we are doing engineering?  First Selectman Eldredge commented that we did not ask for an engineering proposal.  Selectman Patton commented would you please read this?  First Selectman Eldredge read prepare the construction plans and specifications for the construction of the water system.  Selectman Patton commented that is why they bid with an engineering firm.  Why would we care about their engineering qualifications if we were not asking them to do engineering?  First Selectman Eldredge commented because we will ask them to do engineering.  Selectman Patton commented under the new RFQ, which has nothing to do with the operation and maintenance.  First Selectman Eldredge commented that the RFQ for the whole system design will be forthcoming, that’s what the plan has been from the get to.  Selectman Patton commented that may be in your mind but I don’t know of anybody else’s.  First Selectman Eldredge commented in their mind too.  Selectman Patton commented that 4 of the 5 items ask for engineering.  First Selectman Eldredge commented and the top one asks for management and operation and maintenance.  Selectman Patton commented that is the title and we describe what we wanted as 1 through 5.  First Selectman Eldredge replied exactly.  Selectman Patton read from the bid package:  The Town of Willington will own the water system and will select a qualified water system management company, by competitive proposal, to perform the following functions, 1 through 5.  First Selectman Eldredge commented and they will.  Selectman Patton asked who will do that, Birmingham?  First Selectman Eldredge commented that they will consult with the design.  Selectman Patton commented that’s #1; #2 is to prepare the design of the water system and prepare construction plans and specifications for the construction of the Water System that is called engineering.  I talked to Karl and Karl said that’s engineering, when Karl was here we never talked about going out for an RFQ for engineering because that’s what this was.  They said it is a little difficult because we don’t have all of the information but here is our proposal.  First Selectman Eldredge commented that he will assure you that Karl will tell you yes there is an RFQ for the engineering of the system.  First Selectman Eldredge asked how could you propose a cost for the engineering without having the information, they gave a ROM with a high and low limit.  Selectman Patton read some of the prices.  First Selectman Eldredge asked do you think those are actual?  Selectman Patton commented that’s what they bid.  It is a maximum cost by phase.  First Selectman Eldredge commented that it is a rough order of magnitude, they can’t bid it until you get the design specs, what the water is, what the output is, what’s got to go into the building, what the water storage is and that’s what you have to design the system to.  Selectman Patton commented we know all that, the only thing we didn’t know was how the water was, what kind of treatment we need.  First Selectman Eldredge commented we have preliminary figures, they are not completely firmed up, when we give them that package it will be completely firm.  Selectman Patton commented that you are telling me that prepare the design for the water system, prepare construction plan specifications doesn’t mean engineering, it means operation and maintenance.  First Selectman Eldredge commented that it means they will participate in that.  Selectman Patton commented that’s another question,  participate in the selection process of a qualified contractor, are they going to do that?  First Selectman Eldredge replied yes, Birmingham will do that.  Selectman Patton commented so we are only taking item 2 and bid that out.  First Selectman Eldredge commented that we are going to bid out a design of the water

system, an actual pricing.  What it would cost to design it.  Selectman Patton asked how about inspecting the work and administering the construction contract, who will be doing that?  First Selectman Eldredge commented that Birmingham, the management company will be doing that later on.  Selectman Patton commented so that part of the operation and management is to inspect the work and administer the construction contract.  First Selectman Eldredge replied yes.  Selectman Patton commented okay and participating in the selection process for a qualified contract to construct the water system is also operation and management?  First Selectman Eldredge said yes they consult with us.  Selectman Patton said consulting with respect to the planning of the water system, Birmingham would also be doing that?  First Selectman Eldredge commented they participate with us.  Selectman Patton asked so how would I know, since I’m a member of this water committee, that we are not going to give you item 2, where in this document would I know this, where in the meeting would I know this? First Selectman Eldredge commented that the water committee decided up front that we would bring on an operation management company that will eventually run the system so that we could have their input.  Selectman Patton commented right, and we said this is how we are going to select them.  Karl went through and prepared the request for qualifications and proposals and came up with this and these are the 5 items we want them to perform.  We want them to perform; it means you are going to do it.  First Selectman Eldredge commented that Birmingham has already given input that is all the different kinds of pumps and controls that will be in the RFQ, that’s what they want to see in the end item.  Karl will do the RFQ; we will put the engineering portion out to bid.  That was the game plan right from the get go.  Selectman Patton commented that you didn’t share it with anybody.  First Selectman Eldredge commented that he did.  Selectman Patton commented please tell me when we ever said we were going to do an RFQ for engineering after we did this.  First Selectman Eldredge commented that I would have to go back and check the minutes of the meeting.  Selectman Patton commented that we never even discussed having an engineering RFQ.  First Selectman Eldredge commented that he is sure we did.  Selectman Patton commented this is what we had, which included engineering.  First Selectman Eldredge commented that it is the participating engineering.  Selectman Patton asked why would we talk about cost at the last meeting if we didn’t care what the engineering cost were because we weren’t awarding an engineering contract?  First Selectman Eldredge commented that they gave us a rough order of magnitude pricing; you are the one that dwelled on the cost project.  Selectman Patton asked why didn’t you say we are not awarding that portion, we are going to do a different RFQ.  You never said a word at the last meeting.  I said we are awarding a contract for $67,000 and you never said we are not awarding that portion, we are not awarding item 2, and we are just awarding the others.  First Selectman Eldredge commented that we are awarding a contract for a qualified operation management company.  Selectman Patton commented yes and this is how we described what that means, items 1 through 5.  That’s how we described operation and management.  First Selectman Eldredge commented and we awarded the management.  Selectman Patton commented that the award letter said we are awarding this based upon your response and your presentation; and the response has engineering in it.  First Selectman Eldredge commented that they will give us their input into the engineering RFQ.  Selectman Patton commented that it doesn’t say that, section 2 says prepare the design of the water system and prepare construction plans and specifications.  Birmingham even said who will perform the work.  First Selectman Eldredge commented if in fact they get the design RFQ.  Selectman Patton commented that you tell them it is based upon your proposal and their proposal says who is going to do the engineering.  Now you are telling them don’t do item 2, we are going to do a different RFQ for item 2, which I didn’t know about. First Selectman Eldredge commented that you can’t ask somebody for a hard figure on a design when we don’t have the data.  Selectman Patton commented but we did.  First Selectman Eldredge commented that we didn’t have the water flow or anything to be able to design the system.  That will be the next RFQ out, for the design of the system, hard numbers based on the water quality, the 72-hour test and exactly what has to go into the building.  Selectman Patton commented that we said we would be able to give them numbers by the time we interview.  This was back in June or the 1st week of July.  We said it would be difficult for them to give us exact prices but we should have the numbers before the presentation so they could

give us a better number at that point.  At that time we were assuming to give them the engineering but at some point down the line we changed our mind.  First Selectman Eldredge commented we didn’t have the data that’s why we asked for a rough order of magnitude.  Selectman Patton commented but we had already asked the question and received the proposal.  First Selectman Eldredge commented check with Karl.  Selectman Patton commented that he did check with Karl; originally when I checked with Karl he said he just put in the operations and maintenance and then he was told by Mike to put in the request for engineering, so I did.  Lynn Nicholls asked if any of the bidders called and asked for information and did they all get the same information, is that why there was such a difference in prices?  First Selectman Eldredge commented we asked for the qualifications for operations and management, they all brought their design people that they normally work with, to show that they had the ability to do the design; we did not have the water test back.  Lynn commented that she thinks the whole thing should be thrown out and re-bid.  She went over the bid package and if she was bidding on it she would think it was asking for engineering.  First Selectman Eldredge commented that they all had their engineers firms with them, except Lenard Engineering didn’t have their management company with them.  Lynn commented how can you ask for a management company if they didn’t have the water samples, etc?  First Selectman Eldredge commented that we were asking for the management qualifications.  Selectman Patton commented plus the engineering.  First Selectman Eldredge commented and when we do the engineering their input.  Lynn commented that when I read that I thought it requested engineering.  Selectman Patton commented Lenard Engineering thought that also.  Selectman Patton commented that by putting this in here about prepare the design of the water system, maybe there were some other companies that could do the operation and management that may not be able to do the engineering.  They would not bid on it because they think they have to do item 2.  First Selectman Eldredge commented that all the companies have engineering support they normally work with, Lenard Engineering wanted the engineering but didn’t have the management company with them.  Selectman Patton asked why would Lenard Engineering bid on something that they can’t do because they don’t operate or manage a water system.  First Selectman Eldredge commented because they were going to use Aqua Pump as management for them.  Selectman Patton asked why would Lenard Engineering spend the time to put a proposal together if as you say we weren’t asking for engineering?  First Selectman Eldredge commented that they each came in with an operation and management side and a design side they normally work with and we just asked them for figures with a scale of magnitude on the different phases of the job.  They were bidding on the operation and management of the design once it is built.  Selectman Blessington asked First Selectman Eldredge if it is fair to say he relied heavily on Karl Acimovic when you did this.  First Selectman Eldredge replied yes but Karl and I both realized that beyond this there would be an RFQ for engineering.  First Selectman Eldredge commented that they all brought in a design company they normally work with to show they have the ability to assist when we go into the design phase.  Selectman Patton commented that Birmingham is not using the design firm they brought in, they are using themselves.  Selectman Blessington commented that this is going nowhere.  Selectman Patton commented that I get frustrated, what you see in front of you is not what it means, we are doing something different.  First Selectman Eldredge commented that we are not doing something different, we are going to do an RFQ for engineering when we get the test results back, everyone can bid on it.  Selectman Patton asked if First Selectman Eldredge sent a letter to Birmingham telling them that they are not doing item 2?  First Selectman Eldredge commented that you can call Birmingham they know that.  Selectman Patton commented he would rather see it in writing than call them.  Selectman Blessington commented that Karl is not here, we could sit here all night and argue and not accomplish a thing.  If you relied on Karl we should invite Karl to the next meeting, go through this again, see what he was thinking and see where we should go.  We are not going anywhere tonight.  Selectman Patton commented that he would like to see it in writing that Birmingham is not doing #2, the award letter says we are awarding this proposal for operation and management based upon your response to our request and your proposal; their proposal talks about preparing design documents.  They are not going to do that anymore so we should tell them item #2 is out.  Selectman Patton commented that Birmingham

has given their input already, how are we paying for that?  First Selectman Eldredge commented that we are not paying for that.  Selectman Patton commented that they said they would be charging us $60.00 an hour.  First Selectman Eldredge commented that they sent us a list of products and specifications that they like to see used in their systems and we will put that in the RFQ.  Selectman Patton asked when will the RFQ be done?  First Selectman Eldredge commented as soon as the data is in.  Selectman Patton asked when did we tell Karl to do the RFQ?  First Selectman Eldredge responded that it has been planned to do this.  Selectman Patton asked who we were sending the RFQ to?  First Selectman Eldredge commented these 3 people.  Selectman Patton asked would that qualify for the STEAP and EDI grant?  First Selectman Eldredge said yes.  We could just put it in the paper. Selectman Patton asked how do we know that 3 bids are sufficient for the grant have you read the grant guidelines?  First Selectman Eldredge replied yes.  Why would you think competitive bids would not do?  Selectman Patton commented that he would question if 3 bids meets the guidelines.  He doesn’t think they way we awarded this would be under the guidelines and I question if we can be paid back for this.  First Selectman Eldredge commented that he thinks we will.  Selectman Patton commented that the federal government does things different than our ordinance.  Selectman Patton asked if the Board of Finance has talked to you about getting a grant administrator for this.  First Selectman Eldredge commented that he is not going to get a grant administrator for this.  I believe we are very capable in house handling the grants.  Selectman Patton asked who would be qualified to handle the grants.  First Selectman Eldredge commented that the DSS grant is similar to the STEAP grant.  Selectman Patton commented that the Wagners did that.  First Selectman Eldredge commented that if it comes to a point where our people are uncomfortable we will get help.  Selectman Patton commented that our people have stated publicly that they are uncomfortable.  First Selectman Eldredge commented that he talked to our people today and they said they are comfortable, they feel they can do it.  Selectman Patton commented that at a Board of Finance meeting they said they were not really comfortable with it, they have never done it.  First Selectman Eldredge commented that is not the opinion they gave me today, they said they were comfortable and their department can handle the requirements responding to the EDI and the STEAP grant.  If we feel we need someone we will get help.  Selectman Patton commented that his issue is that when he read the HUD guidelines he is not sure that the way we awarded this contract when can use the EDI funds to pay for this.  Maybe someone can show me how we awarded this contract under the HUD guidelines.  We had costs in here.  First Selectman Eldredge commented we awarded this based on management skills.  It was competitive.  Selectman Patton asked what is the time frame for getting the STEAP grant.  First Selectman Eldredge commented that it is at the Attorney Generals office.  The EDI wording has to be changed and it should be ready Oct. or Nov.  the application has been submitted and everything else has been approved.  Selectman Patton asked about going to BOF and Town Meeting.  First Selectman Eldredge commented after we get the STEAP grant back from the AG’s office.  Selectman Patton asked if we had a budget for this whole thing?  First Selectman Eldredge commented yes, in the proposal.  We only have $250,000 available and that is what it is based on.  If it goes over that we will be looking for additional funding.  Selectman Patton commented so we put a budget together to match the base not the needs.  First Selectman Eldredge replied yes, when we get the firm price, we may have to go back for more money.  Selectman Patton commented that we are not going to put our budget together saying this is what we believe it is going to cost.  First Selectman Eldredge commented that is what we have put together but we don’t have the firm numbers to prove it.  We know we can’t submit a budget higher than $250,000 we don’t have the money for it.  If it goes over that we have to go out for additional money.

SUBORDINATION REQUEST
Case #2005-2 has requested subordination of  a rehab lien in order to refinance at a lower interest rate, do home repairs and buy a used car for college age daughter.  The request meets the criteria for subordination.
Selectman Patton recused himself.
SELECTMAN BLESSINGTON MOVED TO APPROVE THE SUBORDINATION REQUEST FOR CASE #2005-2.
First Selectman Eldredge seconded the motion.
VOTE:  2 YES (ELDREDGE & BLESSINGTON)

GOOD & WELFARE  
Selectman Patton asked if we are setting up the Town Office Building as a drop off point for townspeople to leave donations for the victims of Hurricane Katrina?  This will be done.  Geoff Prusak asked if the personnel policy update was ready.  First Selectman Eldredge commented it will be ready for the next meeting.

SELECTMAN PATTON MOVED TO ADJOURN THE MEETING AT 7:45 P.M.
